Job Title: Research Analyst Intern – Small Business M&A Asset Valuation (Remote)

We are a growing venture development firm that fully owns and operates a portfolio of innovative businesses, with a core focus on real estate, finance, and venture incubation. Our firm is actively pursuing small business acquisition opportunities—particularly cash-flowing companies owned by retiring founders without succession plans. We specialize in identifying undervalued businesses, underwriting them for SBA-backed leveraged buyouts (LBOs), and installing professional management to drive growth and long-term value.
We are seeking a driven and detail-oriented Analyst Intern to support our M&A valuation processes and help build the foundation for deal execution.
As a Small Business M&A Analyst Intern, you will play a critical role in sourcing, evaluating, and underwriting acquisition targets. You will work directly with our CEO (Princeton, UCLA MBA, former Deloitte Consulting) and leadership team to analyze the financial health, operational performance, and strategic fit of potential deals. Your work will inform key investment decisions and contribute to the firm’s mission of acquiring and scaling legacy businesses.
This is an excellent opportunity to gain real-world experience in private market investing, M&A underwriting, and entrepreneurial acquisition strategies.
Key Responsibilities
- Business Valuation:
Assist in evaluating small business acquisition opportunities across a variety of sectors using EBITDA multiples, discounted cash flow models, and market comparables.
- Financial Modeling:
Build pro formas to model deal structures, including debt financing (e.g., SBA loans), earn-outs, seller notes, and operating cash flow forecasts.
- Industry & Market Research:
Conduct industry and regional research to identify growth opportunities, competitive dynamics, and acquisition risks.
- Owner Outreach Support:
Help refine targeting criteria and outreach lists for business owners approaching retirement, and support initial outreach via email, LinkedIn, or direct contact.
- Due Diligence:
Support the diligence process by reviewing P&Ls, balance sheets, customer concentration, key contracts, and operational documentation.
- Deal Memos & Reports:
Prepare internal investment memos summarizing acquisition targets, valuation rationale, key risks, and integration opportunities.
- Cross-Sector Exposure (Secondary):
Gain limited exposure to adjacent areas of the business, including real estate and startup asset valuation.
Required Qualifications
- Experience:
1–2 years of experience in investment analysis, private equity, small business finance, or consulting (internship experience acceptable).
- Skills:
- Strong financial and analytical skills, including fluency with income statements, cash flow analysis, and valuation metrics.
- Proficiency in Excel and familiarity with financial modeling techniques (e.g., DCF, LBO models, multiples-based valuation).
- Clear, professional communication and strong writing skills.
- Self-starter with the ability to work independently and manage deadlines.
Preferred Qualifications
- Familiarity with the small business M&A ecosystem and platforms like BizBuySell, Axial, or DealStream.
- Understanding of SBA lending mechanics and leveraged buyout structures.
- Experience in financial due diligence or transaction advisory.
- Interest in entrepreneurship through acquisition (ETA) or search fund models.

Education
